£2.5m will fund the establishment of the R3 Business now and, on Impact Day in Q3 2026 a further £600k funds the VIP Pilot based on our ‘Single Branch Template’ model. The subsequent Speed of Scale relates directly to the availability and allocation of capital in providing a valuable timely Exit. Given the cash generative qualities we estimate that £18m in Total will fund the Roll Out to ~200 UK Branches by end of 2030. This proposed equity investment can also obtain securitization against the liquid vehicle assets.

Our detailed financial planning is based on conservative assumptions and probable realistic outcomes, it applies comparable multiples for an innovative AI based disruptive innovator with extensive opportunities to scale and little technological development risk We would expect detailed discussions to reflect the risk profile of a pre-revenue Start Up with a Pre Money valuation of £300m.

Asset finance may become an appropriate complimentary tool for expansion in the future. As a Start-Up we much prefer the prospect of Equity Finance from a single Value-Added Partner for the entire journey. Such an Investment will benefit from securitization against the liquid assets of Tesla Cars. We believe that these assets will enjoy a unique, one time positive Re-valuation as they transition from ‘Cars that surely Depreciate” into predictable Cash Flow generators on Impact Day & beyond.

In providing for executive recruitment incentives and future external investments we have incorporated in the simplest UK Limited Company architecture with 1,000,000 shares and a sole Co. Director. Nothing in the incorporation, at this time inhibits EIS qualification, should it be required.

The availability of an Agreed Term Sheet will enable 2 important actions. A) Important Board Members & Senior Management recruitment to formulate the appropriate exceptional Management Team. A team capable of executing and building this business to a level of success beyond our initial conservative planning. B) Enable us to commence negotiations to secure our pre-identified ideal Pilot Location that will also serve as the Southern Region Head Office going forward.

We would expect this to be a negotiated outcome with our ideal Founding Partners. An extended remuneration plan should be conditional on Milestone Achievements.
